Thank you for visiting the Social Discovery Corp™ website located at www.SocialDiscoveryCorp.com (the “Site”). Social Discovery Corp™ is a database of publicly available sources of information aggregated for your convenience. The Social Discovery Corp™ services made available by and through the Site are provided for informational purposes only and are intended solely for use by qualified legal professionals acting in their professional capacity and in accordance with all applicable laws and regulations including, without limitation, any applicable rules of court, rules of evidence, rules civil procedure and/or rules of professional responsibility.

These terms of use ("TOU") are an agreement between the end users and visitors (“Users”, "you" or "your") of the websites identified below on the one hand and Social Discovery Corp Inc., its subsidiaries and affiliates (collectively, “SDC,” “we,” “us”) on the other hand (each SDC and you shall be a "Party" or, collectively, "Parties"). These TOU to the apply the website www.SocialDiscoveryCorp.com and such other mobile applications and websites as may be owned and/or operated by SDC, (collectively, the “Sites”) however accessed and/or used, whether via personal computers, mobile devices or otherwise. Like other businesses, SDC relies on user agreements that we ask users of to read and accept before using the Sites, our products and services. We revise and update these agreements over time. These TOU govern your use of the Sites and the services and/or content, including, without limitation, any information, text, software, scripts, graphics, photographs, audio and/or visual materials (individually or in combination), features and other materials uploaded, downloaded or appearing on or available through the Sites (collectively, “Content”).

The Sites are intended only to help qualified legal professionals in legally compliant, legitimate professional legal investigations. They are not intended as legal advice and should not be relied upon as legal advice. Nothing transmitted from the Sites establishes an attorney-client relationship between you and SDC. SDC is not a law firm. Should you have legal questions, SDC recommends you consult an attorney.

You are solely responsible for determining the relevance, the evidentiary value and evidentiary propriety of any Content you collect through this website. You are further solely responsible for the authentication of any such Content.

The Sites may contain ratings and other accreditations that are provided by third party entities that offer such products and/or services. While we are constantly updating and refining our database and service, we do not represent or warrant that the results provided will be 100% accurate and up to date and, as such, SDC shall not be responsible or liable for the accuracy, usefulness or availability of any information transmitted or made available via the Sites including, without limitation, Social Discovery Corp™ Monitoring. SDC does not provide private investigator services and information obtained through the Site and/or from SDC. Monitoring should not be used for employment, tenant screening, or any FCRA related purposes. SDC does not make any representation or warranty as to the character or the integrity of the person, business, or entity that is the subject of any Social Discovery Corp™ Monitoring (as defined herein).

The Sites are intended for a general audience aged eighteen (18) years and older. You must be at least 18 years of age and legally able to enter into a binding contract in the jurisdiction in which you reside to use the Sites or to submit any personal information to SDC. If you are under the age of 18 or do not meet these requirements, you are prohibited from using the Sites. By using the Sites, transacting or attempting to transact any business with SDC or submitting or attempting to submit any personal information to SDC, YOU AFFIRMATIVELY REPRESENT AND WARRANT THAT YOU ARE AT LEAST 18 YEARS OF AGE AND LEGALLY ABLE TO ENTER INTO A BINDING CONTRACT N THE JURISDICTION IN WHICH YOU RESIDE. Further, you hereby agree to supervise usage by, and be responsible for the actions of, any minors who use your computer and/or Internet account(s) to ensure compliance herewith.

WE ARE NOT A CREDIT REPORTING AGENCY FOR PURPOSES OF THE FAIR CREDIT REPORTING ACT (“FCRA”). AS SUCH, THE ADDITIONAL PROTECTIONS AFFORDED TO CONSUMERS, AND OBLIGATIONS PLACED UPON CREDIT REPORTING AGENCIES, ARE NOT CONTEMPLATED BY, NOR CONTAINED WITHIN, THESE TOU.

Acceptance of Terms

Your access to and use of the Sites, Content and related services are offered to you expressly conditioned on your acceptance in their entirety, without modification, of these TOU, the Privacy Policy, and the other policies posted here. Your use of the Sites constitutes your agreement to all such terms, conditions, and notices. Your use of a particular section of the Sites may also be subject to additional terms as set forth in such section ("Additional Terms"). If you do not agree to these TOU in their entirety, you are not authorized to use the Sites in any manner or form whatsoever.

In the event that any of the terms, conditions, and notices contained herein conflict with the Additional Terms or other terms and guidelines contained within any particular section of the Sites or with any terms included with any product or service purchased from us, then these TOU shall control.

Description of the Site.

Subject to these TOU, Users that possess the requisite technology shall have the opportunity to view Content as compiled, distributed and displayed by SDC and other third party content providers (“Third-Party Providers”) including, but not limited to, third party websites/services that provide information and ratings in connection with Social Discovery Corp™ Monitoring. In addition, you shall have the opportunity to apply for the various Member Services as described more fully below.

Description of the Member Services.

Subject to these TOU and the Member Agreement, by registering on the Site, filling out the applicable registration forms, agreeing to the Member Agreement and receiving approval from SDC, you can, for a fee, obtain, or attempt to obtain, access to Member Services as a SDC Member. The Member Services will enable you, as a Member, subject to the restrictions contained in the Member Agreement, and for the applicable monthly fees, to conduct monitoring (“Social Discovery Corp™ Monitoring”) on third parties (each, a “Search Subject”).

Site Licenses and Access

SDC grants you a non-exclusive, non-transferable, revocable and limited license to access and use the Site and Content in accordance with these TOU. SDC may terminate this license at any time for any reason. Unless otherwise expressly authorized by SDC, no part of the Sites including, but not limited to, the Content, may be reproduced in any form or incorporated into any information retrieval system, electronic or mechanical. You may not use, copy, emulate, clone, rent, lease, sell, modify, decompile, disassemble, reverse engineer or transfer the Site, Content and/or any portion thereof. You may not create any "derivative works" by altering any aspect of the Content and/or Site. You may not use the Content and/or Site in conjunction with any other third-party content. You may not exploit any aspect of the Content and/or Site for any commercial purposes not expressly permitted by SDC. You further agree to indemnify and hold harmless SDC for your failure to comply with this “Site Licenses and Access” section of these TOU.

You may not frame or utilize framing techniques to enclose any materials located on the Sites, including, without limitation, any trademark, logo, or other proprietary information (including images, text, page layout, or form) of SDC and/or third parties or SDC affiliates without express written consent of SDC (or in the case of third parties, the appropriate third party owner/licensee of any materials (including Content)). You may not use any SDC tags or any other "hidden text" utilizing SDC’s name or trademarks without the express written consent of SDC. This license does not include any derivative use of this Sites or the Content or any use of data mining, robots, or similar data gathering and extraction tools. Any unauthorized use terminates any permission or license granted by SDC.

No Unlawful or Prohibited Use

As an express condition of your use of the Sites, you agree, represent and warrant that you will not use the Sites for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Sites in any manner which could damage, disable, overburden, or impair the Sites or the network(s) connected to the Sites or interfere with any other party's use and enjoyment of the Sites. You may not attempt to gain unauthorized access to the Sites, other accounts, computer systems or networks connected to the Sites, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Sites.

As a User or Member, in connection with the Member Services and otherwise, you must comply with all foreign and domestic, federal, state and local laws, statutes, rules, regulations and judicial decrees. SDC reserves the right to prohibit any conduct by Members, remove any SDC Monitoring and/or cancel any Member accounts where SDC deems, in its sole and absolute discretion, the applicable Member to be in violation of these TOU, the Member Agreement and/or the Privacy Policy.

The information and services provided by SDC in connection with and/or Social Discovery Corp™ Monitoring has not been collected in whole or in part for the purpose of furnishing consumer reports, as defined in the FCRA. According to applicable law, you are not permitted to use any of this information as a factor in: (a) establishing an individual’s eligibility for personal credit, loans, insurance or assessing risks associated with existing consumer credit obligations; (b) evaluating an individual for employment, promotion, reassignment or retention (including employment of household workers such as babysitters, cleaning personnel, nannies, contractors, and other individuals); (c) evaluating an individual for educational opportunities, scholarships or fellowships; or (d) any other personal business transaction with another individual (including, but not limited to, leasing, renting or sale of a house, apartment or other dwelling).

Notwithstanding the foregoing, SDC undertakes no responsibility to monitor or otherwise police the use of the Social Discovery Corp™ Monitoring, as well as the associated information made available byMembers during the application process. You agree that SDC shall have no obligations and incur no liabilities to any party in connection with any such Social Discovery Corp™ Monitoring. SDC does not represent or warrant that the Social Discovery Corp™ Monitoring is accurate, complete or appropriate. You understand and agree that Social Discovery Corp™ is not responsible or liable in any manner whatsoever for your inability to use Member Services, Social Discovery Corp™ Monitoring and/or the Sites, or for any dispute between Users, Members or other third parties. You understand and agree that SDC shall not be liable to you or any third party for any claim in connection with your use of Member Services, Social Discovery Corp™ Monitoring and/or the Sites.

SDC complies with all applicable laws and regulations.

Personal Non-Commercial Use Limitation

Unless otherwise specified, the Sites are for your personal professional and non-commercial use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Content, information, software, products or services obtained from the Sites. Bypassing or Disabling any Portion of the Site or Software

You may not use any device, software or routine to interfere or attempt to interfere with the proper working of the Sites. You may not take any action that imposes an unreasonable or disproportionately large load on the Sites’ infrastructure(s).

If you bypass or disable any portion of the Sites or associated software including, without limitation, the blocking of cookies, or blocking the operation of any other SDC systems, you are in violation of these TOU and SDC may suspend or terminate your use of the Sites and/or Member Services without notice. Termination of your applicable Member Services account(s) will not excuse you from any criminal or other civil liabilities that may result from your actions.

Modification of these TOU

SDC reserves the right to modify these TOU, the terms, conditions, and notices concerning use of the Sites, in whole or in part, from time to time in its sole discretion, without specific notice to you; provided, however, that any amendment or modification to the arbitration provisions, prohibition on class actions provisions or any other provisions applicable to dispute resolution (collectively, “Dispute Resolution Provisions”) shall not apply to any disputes incurred prior to the applicable amendment or modification. The latest Terms and Conditions will be posted on the Sites and you are responsible for regularly reviewing these terms and conditions and Additional Terms posted on other sections of the Sites. Your continued use of the Sites constitutes your agreement to all such modifications, terms, conditions, and notices.

Member Account, Password, and Security

Certain users and affiliates of SDC may receive a password from SDC to access certain information on the Sites. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify SDC immediately of any unauthorized use of your account or any other breach of security. SDC will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by SDC or another party due to someone else using your account or password. You may not use anyone else's account at any time without the permission of the account holder and SDC.

User Information

Except as otherwise expressly provided in these TOU, and subject to the Privacy Policy, all comments, feedback, content, information, registration data and/or materials that you submit through or in association with the sites (other than the personal information of those Search Subjects for whom you conduct a Social Discovery Corp™ Check) shall be considered non-confidential. By submitting such materials to SDC, you: (a) represent and warrant that SDC’s use of your submission does not and will not breach any agreement, violate any law or infringe any third party’s rights; and, (b) agree that SDC is free to use, in any manner permitted by the Privacy Policy, all or part of the content of any such materials on an unrestricted basis without the obligation to notify, identify or compensate you or anyone else.

SDC does not accept unsolicited ideas, works or other materials and you acknowledge that you are responsible for, and bear all risk as to the use or distribution of, any such ideas, works or materials.

Links to Third Party Sites

The Sites may contain links to third party websites ("Linked Sites"). The Linked Sites are not under the control of SDC and SDC is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. SDC is not responsible for webcasting or any other form of transmission received from any Linked Site nor is SDC responsible if the Linked Site is not working appropriately. SDC is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by SDC of the Linked Sites or any association with its operators. You are responsible for viewing, being aware of and abiding by the privacy statements and terms of use posted at the Linked Sites.

Any dealings by you with third parties (including advertisers) included within the Sites or participation in promotions, including the delivery of and the payment for goods and services, and any other terms, conditions, warranties or representations associated with such dealings or promotions, are solely between you and the advertiser or other third party. SDC shall not be responsible or liable for any part of any such dealings or promotions.

Termination of Access

SDC reserves the right, in its sole discretion, to terminate or limit your access to any or all of the Sites or any portion thereof at any time, without notice.

Proprietary Rights, Copyrights and Trademarks

All of the materials and the Content appearing on the Sites are proprietary to SDC and are owned, controlled or licensed by SDC in accordance with applicable law. You may not copy, distribute or otherwise disseminate any materials or Content (including any logos, images, or data), from the Sites unless you are the owner of said materials or content or have express written permission from the owner of said materials or content to do so. Social Discovery Crop, LLC is the owner of this Internet site. The “Social Discovery Corp” name and logo are trademarks of SDC. All custom graphics, icons and service names are trademarks of SDC. All other trademarks are the property of their respective owners. The use of any SDC trademark without SDC’s™ express written consent is strictly prohibited.

THE INFORMATION, SOFTWARE, AND PRODUCTS INCLUDED IN OR AVAILABLE THROUGH THE SITES MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES AND IMPROVEMENTS ARE PERIODICALLY MADE TO THE SITES AND TO THE INFORMATION THEREIN.

SDC MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, LACK OF VIRUSES OR OTHER HARMFUL COMPONENTS AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, AND RELATED GRAPHICS CONTAINED WITHIN THE SITES FOR ANY PURPOSE. ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. SDC AND ITS AFFILIATES HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, TITLE AND NON-INFRINGEMENT.

YOU SPECIFICALLY AGREE THAT SDC SHALL NOT BE RESPONSIBLE FOR UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, ANY MATERIAL OR DATA SENT OR RECEIVED OR NOT SENT OR RECEIVED, OR ANY TRANSACTIONS ENTERED INTO THROUGH THE SITES. YOU SPECIFICALLY AGREE THAT SDC IS NOT RESPONSIBLE OR LIABLE FOR ANY THREATENING, DEFAMATORY,OBSCENE, OFFENSIVE OR ILLEGAL CONTENT OR CONDUCT OR ANY INFRINGEMENT OF ANOTHER'S RIGHTS, INCLUDING INTELLECTUAL PROPERTY RIGHTS BY YOU OR BY A THIRD PARTY. YOU SPECIFICALLY AGREE THAT SDC IS NOT RESPONSIBLE FOR ANY CONTENT SENT USING AND/OR INCLUDED IN THE SITES BY ANY THIRD PARTY.

IN NO EVENT SHALL SDC AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITES, WITH THE DELAY OR INABILITY TO USE THE SITES OR RELATED SERVICES, WITH THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, AND RELATED GRAPHICS OBTAINED THROUGH THE SITES, OR OTHERWISE ARISING OUT OF THE USE OF THE SITES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF SDC OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR UNKNOWN CLAIMS, DIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN ANY EVENT, SDC'S LIABILITY TO YOU WILL NOT EXCEED THE AMOUNT PAID BY YOU TO SDC FOR USE OF THE SITES IN THE TWELVE (12) MONTHS PRIOR TO THE ACCRUAL OF A CLAIM BY YOU AGAINST SDC. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITES, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITES.

Indemnification

You agree to indemnify and hold SDC, its parents, subsidiaries, affiliates, and their respective officers, directors, employees, agents, members, co-branders, content licensors, successors and assigns harmless from any and all claims, expenses (including reasonable attorneys’ fees), damages, suits, costs, demands and/or judgments whatsoever, asserted by any third party due to or arising out of your use of the Sites and/or any Content, Social Discovery Corp™ Monitoring,products, or services obtained through the Sites and/or from SDC.

Applicable Law/Arbitration/Dispute Resolution

The Parties agree that the services provided by SDC shall be deemed solely based in North Carolina DISCUSS. The Parties agree that all disputes against SDC, including but not limited to disputes as to these TOU; the Sites license; Sites access restriction and/or termination; SDC's trademarks, copyrights, patents, trade secrets, trade dress and other intellectual property rights; member accounts; privacy; Underwriting Program, and disclaimer of warranties shall be governed by the internal laws of the State of North Carolina, U.S.A. DISCUSS without regard to choice of law principles.

Agreement to Arbitrate

The Parties agree that any and all claims and disputes that may arise out of these TOU or out of the relationship of the Parties with one another, including without limitation disputes as to these TOU, the licenses granted to the Sites, the access restrictions and/or termination provisions of the Sites, SDC’s trademarks, copyrights, patents, trade secrets, trade dress, and other intellectual property rights, including the intellectual property rights of you and/or third parties, member accounts as applicable, privacy, and disclaimer of warranties (“Claims”), shall be resolved exclusively through final and binding arbitration (except that nothing herein shall prevent either Party from initiating a small claims court action). The Federal Arbitration Act governs the interpretation and enforcement of this Agreement to Arbitrate.

The arbitrator, and not any court, federal, state, or local court or agency, shall have exclusive authority to resolve any Claim, including any Claim arising out of or relating to the interpretation, applicability, enforceability or formation of this Agreement to Arbitrate, any part of it, or of these TOU including, but not limited to, any claim that all or any part of the Agreement to Arbitrate or User Agreement is void or voidable.

Prohibition of Class and Representative Actions and Non-Individualized Relief

YOU AND SDC AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING.

Arbitration Procedures

You and SDC both expressly agree that any and all Claims shall be submitted for final and binding resolution to the American Arbitration Association’s (“AAA”) Charlotte, North Carolina Regional Office, pursuant to their procedures (including filing and notification procedures). The award rendered by the arbitrator shall be final and binding and may be entered as appropriate in either the District or Superior Court of Mecklenburg County, North Carolina and you irrevocably consent to exclusive jurisdiction and venue in AAA and such courts.

Prohibition of Class and Representative Actions and Non-Individualized Relief

YOU AND SDC AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING.

Judicial Forum for Legal Disputes

Unless you and SDC agree otherwise, in the event that the Agreement to Arbitrate above is found not to apply to you or to a particular claim or dispute, either as a result or a decision by the arbitrator or a court order, you agree that any claim or dispute that has arisen or may arise between you and SDC must be resolved exclusively by a state or federal court located in Mecklenburg County, North Carolina [DISCUSS]. You and SDC agree to submit to the personal jurisdiction of the courts located within Mecklenburg County, North Carolina [DISCUSS] for the purpose of litigating all such claims or disputes.

Severability

If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

No Waiver

No waiver of any of the terms of these TOU will be valid unless in writing and designated as such. No failure or delay in enforcing a Party's rights shall be construed as a waiver.

Language

It is the express will of the parties that this agreement and all related documents have been drawn up in English. In the event these TOU are translated into another language or otherwise reprinted, this (and future amended) English language version of the TOU shall govern as to any inconsistencies.

Entire Agreement

Unless otherwise specified herein or in a writing executed by both parties, these TOU and, where applicable, the Social Discovery Corp™ Member Agreement (“Member Agreement”) constitute the entire and only agreement between you and SDC with respect to your use of the Sites and supersede all prior or contemporaneous agreements, representations, warranties, understandings, communications and/or proposals, whether electronic, oral or written, between you and SDC with respect to your use of the Sites and all Content and materials contained therein.

Errors, Omissions, and Changes

While SDC makes every effort to ensure the accuracy of materials presented, you are warned that this service could include typographical errors and/or technical inaccuracies. SDC reserves the right to make improvements and/or changes to these TOU and/or to the products and services described on the Sites at any time.
